As per Reg 15(2) of the SEBI (LODR) Regulations, 2015, the compliance with the Corporate Governance provision shall not apply to listed entities having Paid up Equity Share Capital not exceeding Rupees 10 crores and Net Worth not exceeding Rupees 25 Crores, as on the last day of previous financial year.\r\n\r\nPlease take note that as per the Audited financial Statements for the Company for the year ended March, 2022, the paid-up equity capital and Net worth was Rs. 6.36 Crores and Rs. 12.99 Crores i.e below the threshold limit mentioned above.\r\n\r\nAccordingly, the Company is not required to submit Related Party Transactions disclosures as required under Regulations 23(9) of SEBI (LODR) Regulations, 2015. \r\n
