History of Company

The company history sections lists out major chronological events that happened to the company.
The Company was originally incorporated as a Private Limited Company on 26.08.1976 as Marson's Electricals Private Limited. It took over the proprietorship concern, Marson's on 17.12.77 which was engaged in manufacturing of transformers of different classes and ratings since 1957. It became a deemed Public Company under Section 43A(1A) of the companies Act, 1956 on 21.07.1981. Pursuant to a Resolution passed at the Extra Ordinary General Meeting of the members of the Company held on 26.12.1990 the name of the Company was changed to Marson's Limited Fresh Certificate of Incorporation consequent on change of name was issued by Registrar of Companies, West Bengal on 20.02.1991. The Company had deleted the restriction clause contained in Section 3(1)(iii) of the Companies Act 1956, by passing a special resolution on 15.09.92. The Company became a Public Limited Company by passing a special Resolution on 19.02.94.

MAIN OBJECTS OF THE COMPANY
The main objects of the Company as setout in the Memorandum & Articles of Association of the Company are as follows: 1. To carry on the Business of Manufacturers, Repaires, Importers, Exporters, Suppliers of, Selling Agents, Distributing Agents, Intermediatories, Representatives for and Dealers in all types of Electrical Transformers, Low and High Voltage, Switch Gears, Switches and Starters, Metering Sets, Voltage Stabilisers, Motors, Pumps, Furnaces, Ovens, Control Equipments, Transmission Towers and Overhead Fittings, Mining Equipmentes, Electrical Substation Equipments. 2. To carry on business of ferrous and non-ferrous metals, Founders, Manufacturers of, dealers in, selling agents, intermediatories for Cables, Wires, Plates, Sheets, Strips, Rods, Welding Wires made out of Copper, Aluminium, Brass, Steel, Electrical Stampings, Insulating materials and other Raw Materials, Machineries, and all other Machineries and Raw Materials necessary for manufacture of all type of transformers, all other Mechanical & Electrical Machineries, Equpments, devices and appliances for substation and Equipments for turnkey projects. 3. To carry on the business of Real Estate Developers, traders, Merchant Exporters and all allied matters relating thereto and to sell, buy land, land with buildings and construct houses for residential purposes, warehouses, godowns, offices, factories, plants including reservoirs under joint venture and/or independently enter into lease agreement with multinations, govt. bodies, semi-Govt. bodies, joint sector and/or Public Sector Companies in this regard.

PRESENT BUSINESS
The Company is presently engaged in the manufacture of Power & Distribution Transformers in 11 KV and 33 KV class upto 6300 KVA (6.3 MVA) ratings. These transformers are mainly supplied to CESC Ltd., Coal India Ltd., and Power Projects like Santaldihi, Bandel, Kolaghat and to various State Electricity Boards including Rajasthan, U.P., West Bengal, Assam etc. on a made-to order basis. It is also engaged in manufacturing Current Transformers/Potential Transformers CT/PT) of 66 KV class. It has manufactured and supplied a current transformer of 230 KV class specially designed for Jadavpur University at Calcutta. Transformers produced by Marson's are in operation for years and are used in such sectors as Defence, Railways, Tea Estate, Cement Mills, Steel rolling mills apart from electricity Boards, etc. for power transmission and distribution. 2004 -The Company has successfully completed export order to UK based M/s CASTLE CEMENT LTD, by supplying 30 MVA 33 KV Transformer. -The Company split the face value of a share of the Company from Rs 10/- each to Rs 2/- each. 2005 -Marsons secures prestigious order worth approximately Rs 40 million from Techno Electric and Engineering Company Ltd for supply of various ratings of Power Transformer for ASEB under APDRP Scheme Gauhati Circle and Cachar Circle -Strategic tie up with UK Company -Marson enters into JV with Mitsa Sales -Marsons secures order worth Rs 20 mn from Nagarjuna Construction -Marsons successfully implements Furnace Transformers Project -Marsons has given the Bonus in the Ratio of 1:2 2006 -Marsons secures order from Areva T&D -Marsons secures order from ABB 2007 -Marsons secures order from Northern Power Distribution Company 2009 -The Company has entered into a technical collaboration agreement with Kryfs Power Components Ltd having their Manufacturing unit at Survey No.19/1/1/2, Kherdi Village, Silvassa - 396230 (D.N&H). -The name of the Company has been changed from MARSON'S LTD to MARSONS LTD. -Company has Consolidates its Face value of Shares from Rs 2 to Rs 10 2010 - Marsons Ltd has bagged another prestigious order for medium Power Transformer from Federal Republic of Nizeria, Abuja, Nizeria. Valued at USD 20 Million. -The Company bags another prestigious order worth Rs. 60 Crore (approx) from RRVPNL for supply of 32 nos. 25 MVA 132/33 KV Power Transformers. 2011 -Marsons successfully completes order worth Rs. 54.40 Million (App.) received from RRVPNL, Jaipur. -The Company has been registered as vendor with Power Grid Corporation of India Ltd (PGCIL) for supply of Power & Distribution Transformers. -Marsons Ltd has given the Bonus in the Ratio of 1:4 2012 -The Board has recommended a dividend @ 1% (i.e. Re. 0.10) 2014 -Mr. Ajay Singh has been appointed as Chief Financial Officer of the Company with effect from July 31, 2014. -Mrs. Trina Sinha has been appointed as an Additional Director of the Company with effect from July 31, 2014. 2015 -"Marsons Limited becomes first Transformer Company in Eastern India to receive NABL Accreditation". 2016 -Marsons, Siemens partner for tenders worth Rs 132 crores -Marsons bags order worth INR 250 million from RRVPIML a Rajasthan State Utility for supply of 19 nos. 25 MVA 132/33 Kv class Power Transformers. -Marsons Ltd Bags EPC Contract Worth INR 780 Million from TEKELEC General Trading LLC. Dubai, UAE -Marsons bags yet another order worth INR 60 Million (approx.) from a NCR based EPC contractor -Marsons secures orders worth INR 400 million from State utilities
