    The Company was incorporated as "One 97 Communications Private Limited", a private limited company under the Companies Act, 1956, with a certificate of incorporation issued by the Assistant Registrar of Companies, National Capital Territory of Delhi and Haryana, at New Delhi on December 22, 2000. On the conversion of the Company to a public limited company, pursuant to a resolution passed by the Shareholders on May 11, 2010 the name was changed to "One 97 Communications Limited" and a fresh certificate of incorporation consequent upon change of name on conversion to public limited company dated May 12, 2010 was issued by the Deputy Registrar of Companies, National Capital Territory of Delhi and Haryana, at New Delhi.
