| TOWA SOKKI LIMITED is an existing profit making company engaged in the manufacture of Survey Instrument of automatic level. It was incorporated as a Public Limited Company in the State of Gujarat on 10th March, 1993.
AMALGAMATION OF TOWA INSTRUMENTS PVT. LTD. WITH TOWA SOKKI LTD.
The Towa Instruments Pvt. Ltd. a Private Limited Company incorporated in the State of Gujarat on 15-10-82, involved in manufacturing of Survey Instruments (Model TA-2) and promoted by Mrs. Sushila O. Bansal and Mrs. Suman S. Bansal has been amalgamated with Towa Sokki Ltd. Honorable Gujarat High Court has approved the scheme of amalgamation by its order dated 19-12-94 with effect from 1-11-93 (appointed date).
The Company has taken over the assets of Towa Instruments Pvt. Ltd. at Net Book Value as on 28-11-94 and also the liabilities as on that date. Towa Instruments Pvt. Ltd. got revaluation of its assets by the approved valuer Mr. Nutan Desai and in this valuation the assets considered
were Land, Constructed building, Compound wall, Electrical fixtures and Furniture & Fittings. For machineries the valuation was entrusted to M/s. S.M. Vasudev, Surveyor, Loss Assessor and Valuer. The additions to the assets, by revaluation, amount to Rs. 41.40 Lacs, break up of which is as under :

2. Factory Shed Rs. 17.76 Lacs
3. Machinery Rs. 09.34 Lacs
4. Electrical Installations Rs. 00.80 Lacs
5. Office Equipments Rs. 00.17 Lacs
6. Furniture & Fixtures Rs. 00.56 Lacs
7. Vehicles Rs. 00.94 Lacs

At the end of October, 1993 in totality the net worth including revaluation reserve is Rs. 46.29 Lacs.
The Purchase Consideration was paid by way of Eighty Equity Shares of Rs. 10 each given to the Shareholders of the Towa Instruments Pvt. Ltd. for every share of Rs. 100 held. In total 3,50,400 equity shares of Rs. 10 each fully paid up allotted to shareholders of Towa Instruments Pvt. Ltd.
The Company carries on its activities of manufacturing of Survey Instruments namely, Automatic Level at GIDC, Makarpura, Baroda. The Company has now envisaged plans to expand its activities and to set up a project for the manufacturing of measuring tape at Por-Ramangamdi in Baroda District.

-Company name changed to Shraddha Prime Projects Ltd. from Towa Sokki Ltd..
2023
-The company issued rights shares of Rs. 10 in the ratio of 365:100 at a premium of Rs. 20 per share.
2025 -The Company has issued Bonus Shares in the Ratio of 1:1. -The Company has acquired development rights of parcel of land situated at Borivali East as well as Dadar West and has purchased a parcel of land situated at Village Bhandup (Nahur) in Mumbai.
