| Trejhara was incorporated as a public limited company on March 10, 2017. Trejhara and Aurionpro,
along with their respective shareholders, have entered into a Scheme of Arrangement ("the Scheme")
for the demerger of certain business verticals of Aurionpro, defined as the "Demerged Undertaking"
under the Scheme, and transfer and vesting of such Demerged Undertaking into Trejhara with effect
from March 31, 2017, the Appointed Date for the Scheme. The said Scheme has been approved by the
Hon'ble National Company Law Tribunal, Bench, at Mumbai vide its order dated July 27, 2018, received
by the Company on July 31, 2018 and having filed with the ROC has become effective on August 02,
2018
