History of Company

The company history sections lists out major chronological events that happened to the company.
The Company was incorporated on May 11, 1988 at Mumbai as Varroc Engineering Private Limited, a private limited company under the provisions of the Companies Act, 1956. On July 1, 1997, the Company was converted into a deemed public company under section 43A (1A) of the Companies Act, 1956 and the word "Private" was deleted from the name of the Company. Thereafter, on January 24, 2001 the Company was converted into a private company under section 43A (2A) of the Companies Act, 1956 and the word "Private" was added to the name of the Company. Subsequently, the Company was converted into a public limited company pursuant to approval of the Shareholders at an extraordinary general meeting held on January 25, 2018. On February 5, 2018, the name of the Company was changed to Varroc Engineering Limited and a fresh certificate of incorporation consequent upon conversion to a public limited company was issued to the Company by the RoC.

- Formed Varroc Exhaust Systems Private Limited to manufacture catalytic convertor for twowheelers and three-wheelers

2007

- Formed a joint venture with Plastic Omnium Auto Exterior SAS, France

- Acquired I.M.E.S., Italy

2008

- Entered into a composite scheme of arrangement between Varroc Lighting Private Limited ("VLPL"), VPPL and the Company whereby VLPL was amalgamated with the Company and the polymer business of the Company was demerged into VPPL

2011

- Acquired two-wheeler lighting business of TRI.O.M. S.p.A.

2012

- Acquired the lighting division of Visteon Corporation

2014

- Acquired of 50% stake in Varroc TYC Corporation, BVI from Viseton International Holdings Inc.

- Investment in the Company by Investor Selling Shareholders

2018

- Acquired 90% stake in Team Concepts through the Subsidiary VPPL

- Investment in two- wheeler electronic fuel injection technology by entereing into a joint venture agreement with Dell'Orto S.p.A.

- Investment in lighting manufacturing units in Brazil & Morocco

- Diversified its business activities by acquiring Team Concepts, which is in the business of manufacturing of auto accessories.

2019 -Amalgamation of Varroc Lighting Systems (India) Pvt. Ltd. with Varroc Engineering Ltd. -Varroc Engineering acquired 74% stake in equity share capital of CarlQ Technologies Pvt. ltd.

2022 -Varroc has signed a Securities Purchase Agreement (SPA) with Compagnie Plastic Omnium SE of France to divest its 4-wheeler lighting systems operations in the Americas and Europe. -Varroc Engineering on Saturday announced that it incorporated a wholly-owned subsidiary, VL Lighting Solutions.
