Management Response

Out of total shareholding of promoter and promoter group, 4242
Equity shares i.e. 0.01% of the total shareholding of promoter
category is not in the dematerialized form as required under
Regulation 31(2) of SEBI (LODR) Regulations, 2015.

The Company along with its promoters is taking appropriate steps
for dematerialization of 4242 equity shares belonging to the
promoter and promoter's group. Please note that the Promoters
entities whose shares are not in demat form were formed decades
ago. Further, in one of the cases the senior most member who
formed the entity has expired and the PAN details were not available.
Consequently, the conversion of physical shares into dematerilised
form could not be completed. The Company is taking efforts to
complete the dematerilisation process at the earliest.

The vendors of the Company availed a bill discounting arrangement
through one of the Related Party and the Company was contractually
obligated to settle the discounted amount with such Related Party
after the stipulated credit period. The aggregate value of such
transactions exceeded the materiality threshold approved by the
shareholders under Regulation 23 of the SEBI LODR Regulations.
However, based on understanding of the arrangement and
interpretation of the relevant provisions, an alternate view shall
also be considered, whereby such transactions could potentially fall
within the scope of Related Party Transactions.

The Management is of the view that, considering the nature and
structure of the arrangement, the transaction does not qualify
as a Related Party Transaction under Regulation 23 of the SEBI
LODR Regulations and, accordingly, the shareholder approval
requirements are not applicable.

Without prejudice to the above, the Company has taken material
related party approval for the said transaction for Financial year
2026-27 from the shareholders.

No instance of fraud has been reported by the Secretarial Auditor.
