1. Capital Trust was incorporated in 1985. First Public Issue for Rs.60 lacs was floated in December, 1985. Then Rights Issue of Rs.49.90 lacs and Private Placement of FCD of Rs.55.00 lace was made in 1992. Subsequently, Rights Issue of Rs.128.56 lacs and Public Issue of Rs.228.88 lacs was made in April 1994.

2. Capital Trust is a CATEGORY I MERCHANT BANKER.

3. Capital Trust has been a consistent dividend paying company since 1987. Dividend paid in 1994-95 was 17%.

4. Capital Trust is consultant/advisor to some major International Banks (Berliner Bank, A.G. Germany; Banco Sabadell, Spain; Royal Bank of Canada) for development of their business in India.

5. Capital Trust offers wide range of financial services, merchant banking services, leasing, hire purchase, bill discounting etc.

6. Capital Trust is presently listed at Delhi, Bombay and Ludhiana Stock Exchange.

7. Capital Trust promoted Indo Crediop Limited, an Export House engaged in merchandise exports.

8. Capital Trust has promoted CT COTTON YARN LTD a 100% Export Oriented Unit for the manufacture of Cotton yarn in 1990. Export for 1994-95 was Rs.45 crores.

9. Capital Trust has a joint venture with KINETIC ENGINEERING LTD., PUNE. Joint venture company is called KINETIC CAPITAL FINANCE LTD., which is a listed company.

10. Capital Trust has a joint venture with THAKRAL BROTHERS of Singapore. This Joint Venture is called THAKRAL CT PTE LTD and is engaged in the business of trading activities.

11. Capital Trust has been assigned credit rating of MAA- by ICRA for its deposit schemes, which denotes "high safety" for re-payment of principal and interest.

12. Capital Trust has entered into a joint venture with DBS SECURITIES HOLDING PTE LTD. (DBSSH). DBSSH is a subsidiary of DBS BANK OF SINGAPORE (the Development Bank of Singapore). Besides promoting stock broking activities in India, the joint venture shall stimulate Foreign Investment.

13. The Company has not defaulted in meeting its loan obligations nor has the term loan been rescheduled.

PRESENT ACTIVITIES OF THE COMPANY

a. INTERNATIONAL BANKING

Capital Trust functions as consultants/advisors to three major International Banks in India namely Berliner Bank A.G. Germany; Commonwealth Bank of Australia and Royal Bank of Canada.

Its activities in this division broadly cover the following areas:

(A) Assisting foreign banks in country review and monitoring country risk.

(B) Developing correspondent relations of the foreign banks with Indian Banks.

(C) Promoting services of foreign banks and canvassing documentary credit business.

(D) Referring proposals for syndication of foreign currency loans to foreign banks.

(E) Referring trade finance proposals.

(F) Organising visits of the executives of foreign banks in India.

(G) Introducing clients of foreign banks wishing to invest in India to Indian Companies, and advising procedures for obtaining licences for joint ventures, monitoring interest of foreign investors, participating in such joint ventures.

b. LEASING AND HIRE PURCHASE ACTIVITIES

CAPITAL TRUST LIMITED is actively engaged in domestic leasing business. It structures flexible lease and H.P. packages to suit requirements of its clients and over the years it has built a strong base of corporate clients with sound fundamentals and proven track record.

(A) Structuring of financial leases and hire purchase to suit requirements of our clients.

(B) Financing undertaken mainly for corporate clients.

(C) Strong base of over 300 corporate clients.

(D) Items financed include new plant and machinery, office equipment and vehicles.

(E) Appraisal of clients made on the basis of the financial strength of the company, their market strength and reputation, product mix and other such relevant factors.

c. MERCHANT BANKING

The spectrum of services offered by merchant banking division are broadly classified under the following three heads:

d. EQUITY RESEARCH CELL

To conduct in depth research of companies and industry, the company has an equity research cell. It has a team of professionals having specialisation in the field of security analysis and infrastructure including requisite computer software to cater to the needs of the company. After in depth analysis by the research department, the investment decisions are made by a committee comprising of Mr. V.K. Khosla and Mr. Gagan Khosla.

e. FIXED DEPOSITS

The Company has recently strengthened its fixed deposits section and its depositor base is showing gradual growth. The Company is offering various attractive deposit schemes for periods ranging from 1 to 5 years. The Company has been given MAA-Credit rating by ICRA (Investment Information and Credit Rating Agency) for its fixed deposits programme. It signifies high safety with regard to timely payment of interest & principal.

f. REAL ESTATE

The company had after seeking consent of the shareholders (under Section 149(2a) by a Special Resolution passed at the Extra Ordinary General Meeting held of 9th June, 1995 diversified into real estate business. The company has acquired a plot at Okhla Industrial Area Phase II, New Delhi and proposes to develop and sell it.

5.4 SUBSIDIARY a Capital Trust Stocks Private Limited incorporated on 24.05.95 is a subsidiary of Capital Trust Limited.

2000 - The Company has informed that Thakral Investments HoldingsMauritius Ltd has acquired 50,000 shares from Thakral HoldingLtdand 8,49,200 Shares from Mr. Inderbethal Singh Thakral.

2003

-Members approve delisting of company's shares from 2 Stock Exchanges (Delhi Stock Exchange and Madhya Pradesh Stock Exchange)

2007

-Capital Trust Ltd has informed that the Board of Directors of the Company at its meeting held on March 12, 2007, has appointed Mr. K L Khullar as an Additional Director of the Company w.e.f. March 12, 2007.

2009

--Registered Office of the Company has been shifted from "No. 21, Indra Bhawanindra Colony, Naya Bazar, Lashker, Madhya Pradesh" to "Capital Trust House, 47 Community Centre, Friends Colony, New Delhi - 110025"

2010

- Capital Trust Ltd has informed that Mr. C. R. Sharma has been appointed as Additional Director of the Company w.e.f. April 09, 2010 in the meeting of Board of Director held on April 09, 2010.

2011

-Ms. Nikita Jain has been appointed as Company Secretary and Compliance officer of the Company.

2013

-Capital Trust Ltd has received order of Amalgamation of company's subsidiaries, Capital Trust Housing Finance Private Limited and Capital Trust Microfinance Private Limited with the Company
