                - The Board has allotted on preferential allotment basis, 87,55,000 No. of equity
               shares of Rs 10 each at par to the shareholders of Ecom Concepts and Adroit
               Computer Technique.
    2003

    Ms Rashmi Agarwal has resigned as Director of the Company wef December 2, 2003 and consequently as chairperson and Managing Director of the Company.

    Mr. Manoj Murarka has resigned from the Board wef December 2, 2003

    Mr Rahul Agarwal has been inducted in the Board wef December 2, 2003 as an Additional Director. The Board has also appointed Mr Rahul Agarwal as Chairman & Managing director of the Company.
