    TML Commercial Vehicles Limited (the "Company" or "Resulting Company") was incorporated as a public limited company under the Companies Act, 2013, and a certificate of incorporation dated June 23, 2024 was issued by the Registrar of Companies, Maharashtra at Mumbai.

    Pursuant to the Scheme of Arrangement effective on October 1, 2025, the Demerged Undertaking comprising the Commercial Vehicle Business of Tata Motors Limited was demerged from Tata Motors Limited into our Company on a going concern basis and in consideration, our Company issued Resulting Company New Shares to the shareholders of Tata Motors Limited, in accordance with the provisions of the Scheme of Arrangement and on the basis of the Share Entitlement Ratio set out therein.
